The “Lawscopy”

Diligence for Every Stage of Business Ownership.

A business is built over years of work. Whether you are growing it, selling it, or passing it on, the legal foundation needs to be sound. Small gaps that go unnoticed during the good years tend to surface at the worst possible moment: when a buyer's lawyer is reviewing your contracts, when a regulator comes calling, or when your family is left to sort out an estate without clear direction.

That is why we developed the Lawscopy—a proactive, comprehensive legal review designed to find and fix problems before they become emergencies. We organize it around the same three stages we organize our entire practice around, so the diligence you get is matched to where your business is and where it is headed.

What is a Lawscopy?

We coined the term Lawscopy (laws-cuh-pee), short for “Legal Colonoscopy.”

Just as a medical colonoscopy uses a detailed scope to look for hidden problems inside the body, our Lawscopy is a systematic internal legal audit. We scan the areas that matter most for your stage of ownership, pinpoint the vulnerabilities, and give you a clear, actionable roadmap. Instead of being blindsided, you get the confidence of knowing your legal house is in order.

A Scope for Each Stage

As you build, the legal infrastructure has to keep pace. We review your corporate structure, founder and owner agreements, customer and vendor contracts, employment classifications and handbooks, and intellectual property protections. The goal is to make sure the foundation you are building on is solid, so growth does not outrun your legal footing and so you are positioned cleanly for future funding or a future sale.

Growth Lawscopy

Getting deal-ready starts long before you find a buyer. We run the same diligence a buyer's counsel will run, so you find the problems first. We review the items that commonly hold up or reprice a deal: entity records and ownership documentation, assignable contracts and change-of-control provisions, employment and contractor compliance, and unresolved liabilities. We also flag tax-structuring considerations early, while there is still time to address them. The result is a cleaner diligence process, fewer surprises at the table, and a stronger negotiating position.

Sale Lawscopy

The wealth and legacy you have built deserve a deliberate plan, not a default one. We review how your business interests are held and how they would transfer, whether your estate planning documents are current and consistent with your ownership structure, and whether the right instruments are in place to carry your wishes through a transition. The aim is to make sure a sale or handoff becomes the start of the next chapter rather than an unresolved question for the people you leave it to.

Succession Lawscopy

Not every business needs the same review. We tailor the scope to your industry and your situation. For heavily regulated fields such as healthcare, that may mean a deeper look at compliance. For an owner approaching a sale, it may mean concentrating on deal-readiness. We will scope the engagement to what your situation actually calls for.

Why Act Now?

The risks of waiting are concrete:

  • Fines and penalties from regulatory bodies.

  • Lawsuits from employees, former partners, or vendors.

  • A stalled or repriced deal when diligence turns up problems you could have fixed in advance.

  • An unplanned transition that leaves your family or partners without clear direction.

  • Loss of reputation and trust with customers and potential buyers.

The Lawscopy is the alternative.

Identify and correct issues before someone else finds them, build legally sound documents and procedures that serve as your first line of defense, and demonstrate to customers and buyers a real commitment to operating the right way.
